Terms of Use

1. Acceptance of Terms

By accessing and using the AedifyHQ client portal located at nexus.aedifyhq.com ("Nexus" or the "Portal"), you accept and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not use Nexus. These terms apply to all visitors, account holders, and others who access or use the Portal.

2. Description of Services

Nexus is AedifyHQ's client portal for managed AI services. Through Nexus you may create an account, upload business documents, manage billing, and complete onboarding so we can configure an AI assistant for your organization. Day-to-day AI use may happen in Claude rather than inside Nexus. Actual service engagements — including the scope of setup, support, and managed services — are governed by separate written agreements between AedifyHQ and the client. These Terms of Use govern your use of the Portal itself.

3. Accounts

You must provide accurate information when you create an account and keep that information up to date. You are responsible for keeping your login credentials confidential and for activity that occurs under your account. Notify us promptly if you believe your account has been misused.

Some accounts may be complimentary or provided by AedifyHQ for operators, invited team members, or evaluation. Complimentary access may be limited or ended at our discretion unless a separate written agreement says otherwise.

4. Acceptable Use

You may use Nexus for lawful business purposes only. You agree not to:

• Use the Portal in any way that violates applicable local, national, or international laws or regulations
• Upload content you do not have the right to share, or content that is unlawful, harmful, or infringes someone else's rights
• Attempt to gain unauthorized access to any part of Nexus or its related systems
• Interfere with or disrupt the Portal, or introduce viruses, malware, or other harmful material
• Use Nexus to send unsolicited advertising or to scrape, copy, or misuse other customers' data

5. Uploaded Content

You (or your organization) own the documents and other files you upload to Nexus. You represent that you have the right to provide that content and that doing so does not violate any law or third-party rights.

You grant AedifyHQ a limited license to host, store, copy, and process that content solely to provide the Portal and the managed AI services you have engaged us to deliver — including loading documents into the assistant we configure for you. We do not claim ownership of your files.

6. Payments

Paid plans and invoices are processed through Stripe. By submitting payment information, you authorize Stripe to charge the applicable fees. Prices, plan details, and billing terms may be described on Nexus or in a separate written agreement. Complimentary or operator accounts may exist and may not require payment. Failure to pay amounts due may result in suspension or termination of access, except where a written agreement provides otherwise.

7. Intellectual Property

Nexus, including its design, software, text, graphics, and logos, is the property of AedifyHQ or its licensors and is protected by applicable intellectual property laws. Your uploaded content remains yours, as described above. You may not:

• Reproduce, distribute, or publicly display Portal software or branding without prior written permission
• Use any AedifyHQ trademarks, logos, or brand elements without express written consent
• Modify, reverse engineer, or create derivative works based on the Portal except as allowed by law

8. Disclaimer of Warranties

Nexus and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. AedifyHQ does not warrant that the Portal will be uninterrupted, error-free, or free of viruses or other harmful components. Service levels for managed AI engagements, if any, are set out in a separate written agreement.

9. Limitation of Liability

To the fullest extent permitted by applicable law, AedifyHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, Nexus. This limitation applies regardless of the legal theory on which the claim is based, even if AedifyHQ has been advised of the possibility of such damages. Nothing in these terms limits liability that cannot be limited under applicable law.

10. Third-Party Services

Nexus relies on third-party services such as hosting, payments, and AI platforms. Those services have their own terms. Day-to-day use of Claude is subject to Anthropic's terms. AedifyHQ is not responsible for third-party sites or products we do not control. Linking to or integrating a third-party service does not imply endorsement beyond what we have agreed in writing.

11. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

12. Changes to These Terms

AedifyHQ reserves the right to modify these Terms of Use at any time. Changes will be effective when posted to Nexus. Your continued use of the Portal after any changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.
